Modern Brand Studio
Terms of Use
Last updated: September 28, 2026
These Terms of Use govern your use of modernbrandstudio.com and any design, branding, strategy, development, or related services provided by Modern Brand Studio. By buying a listed package or accepting a written proposal, you agree to these Terms and the Refund Policy.
1. About the studio
Modern Brand Studio provides remote branding, design, and development services. Questions about an order or these Terms can be sent to [email protected].
2. Acceptance and eligibility
When you place an order or accept a proposal or statement of work, you confirm that you have read these Terms and the Privacy Policy. If you act for a company or organization, you confirm that you have authority to bind it.
You must be legally able to enter into a contract in your jurisdiction. If you are under the age of digital consent in your country, you need a parent or guardian to agree on your behalf.
3. Services and written scope
We provide brand strategy, visual identity, web design, UX/UI, front-end and back-end development, digital commerce, and related consulting. A listed package includes the features shown at its displayed price. We confirm the project brief, timeline, revisions, and dependencies in writing. Custom projects are described in a proposal or statement of work (the SOW).
If an SOW conflicts with these Terms, the SOW controls for that project. Requests outside a package's listed features require a separate quote and your approval before the additional work begins.
4. Quotes, changes, and client responsibilities
- Quotes are valid for 30 days unless the quote says otherwise.
- Unless the SOW says otherwise, a milestone includes up to two rounds of reasonable revisions.
- New work, major direction changes, and third-party requests require written approval and may affect price and timing.
- You agree to provide content, materials, approvals, access, and feedback when reasonably needed.
- Delays caused by missing information or feedback may move the project timeline.
5. Acceptance and review
After a milestone or final deliverable is sent, you will have seven calendar days to review it and either approve it or provide specific feedback within the agreed scope. If we do not receive a response within that period, the deliverable is treated as accepted for the purpose of the next project step. This does not remove any statutory rights that may apply to you.
6. Payments and checkout
Payments are processed by Stripe or another payment provider named at checkout. The studio does not receive or store your full card number. Prices are shown in EUR. The listed package price is the one-time checkout total; additional work or third-party costs require your approval and are quoted separately.
A listed package is charged at its displayed one-time price through its Stripe checkout link. Custom work may require a deposit, milestone payment, or invoice under the SOW. You are responsible for accurate billing information. Payments are subject to the Refund and Cancellation Policy, including its rules for accepted contracts and work or files already provided.
7. Intellectual property
You keep ownership of materials you provide. You give the studio a limited, non-exclusive license to use those materials only to deliver the Services and to communicate about the project.
After all fees for a deliverable are paid in full, and subject to third-party rights, you receive the agreed rights to use the final work product created specifically for you. The studio retains ownership of pre-existing tools, methods, templates, and general know-how, and may continue to use those elements without identifying you or exposing confidential information.
Third-party and open-source components remain subject to their own licenses. We will identify material third-party dependencies when they are relevant to the SOW.
8. Portfolio use
We may show non-confidential portions of completed work in a portfolio, proposal, or social post unless you ask us not to. You can opt out at any time by emailing [email protected]. We will stop future use of the material as soon as reasonably practicable.
9. Acceptable use
You may not use the site or request work that is unlawful, fraudulent, infringing, threatening, abusive, or designed to harm people, systems, or communities. You may not interfere with the site’s security or attempt to access systems that are not yours.
10. Confidentiality
Each party may receive non-public information while working together. The receiving party will use it only for the project and take reasonable steps to protect it. This obligation does not apply to information that is public, already known without restriction, independently developed, or lawfully received from another source.
11. Third-party services
The site may rely on hosting, payment, email, analytics, or other third-party services. Their availability and terms are separate from these Terms. We are not responsible for a third-party service’s acts or omissions, but we will choose providers with reasonable care.
12. Warranties and support
We will perform the Services with reasonable care and skill. If a SOW includes a support or bug-fix period, we will correct defects in the agreed deliverable that materially differ from the SOW during that period. New features, changed requirements, content supplied by you, and third-party systems may be excluded.
Except as stated in an SOW or as required by law, the Services and site are provided “as is” without an implied promise that they will be suitable for a particular purpose or produce a particular business result.
13. Liability
Nothing in these Terms limits liability that cannot legally be limited, including liability for fraud, deliberate misconduct, or rights that cannot be waived. To the extent permitted by law, neither party is responsible for indirect, incidental, special, punitive, or consequential loss, or for lost profits, revenue, or data, arising from the Services. Any agreed liability cap will be set out in the relevant SOW.
14. Suspension and termination
We may pause work if an invoice is materially overdue, a project is blocked by missing information, or continuing would create a security or legal risk. Either party may end an SOW for a material breach that remains uncured 14 days after written notice. On termination, payments and any refund are handled under the Refund Policy. We provide agreed work product for which payment has been made.
15. Changes to these Terms
We may update these Terms as the site, services, or legal requirements change. The updated date will appear on this page. If a change materially affects a live engagement, we will provide reasonable notice and discuss whether the change applies to that engagement.
16. Disputes and applicable rights
Please raise a concern with us first so we can try to resolve it directly. Applicable law governs any unresolved dispute. Nothing in these Terms excludes mandatory consumer rights or remedies that cannot legally be excluded.
17. General
These Terms, the Privacy Policy, and the applicable SOW are the entire agreement for the relevant Services. If a provision is unenforceable, the rest remains in effect. You may not assign your rights or obligations without our written consent. We may assign these Terms as part of a merger, reorganization, or transfer of the business.
